do 2006 with that amount of miles have to have this replaced and what is the cost and should i allow a dealership to do it when i hadn't even seen a leak

If the pan gasket is leaking, then it would need to be replaced. If not leaking, then I would question who told you to change it. It is not considered a consumable like brake pads. They may want to take you for a ride.
